Pricing Schedule:

This pricing schedule covers all non-variable  standard service fees for International Business Companies (IBCs),  offshore bank accounts and Bahaman domestic companies. Cost quotes  for Bahaman mutual fund administration and management, trusts  (including asset protection trusts, or APTs), legal work, accounting  or other special services are available. Discount arrangements are  available for intermediaries or re-sellers placing high volume  orders. If you are a lawyer, accountant or financial consultant and  require services for your clients, please contact us for further  options.

As of January 1, 1999, the following fees are  payable as set out below. The Incorporation Fee and Annual  Registered Agent & Office Fee are required for all IBCs; all  other services are strictly optional. Smith-Smith & Co. is not  an IBC re-seller or intermediary and attaches no additional service  charges. Order now using our secure online  incorporation form and pay up front to receive a US$100  DISCOUNT for each IBC you incorporate.

    COMPLETE INCORPORATION AND 1999 ANNUAL FEE:  US$1,720
    (Assumes standard authorized share capital  on incorporation of US$50,000 or less; any amount beyond  this attracts a higher Bahaman capital duty. Share capital  is not necessarily a representation of company value,  although the issued share capital cannot exceed company  value. International Business Companies in the Bahaman are  tax-free). The US $1,720 fee includes:

    Government incorporation / first year's fee of  US $300.

    Provision of 1999 registered office and  registered agent.

    Company name availability confirmation and  reservation.

    Occasional telephone answering, mail and fax  forwarding.

    Printing and delivery of up to twelve share  certificates.

    Printing of up to five copies of all corporate  documents.

    Minting of the company seal (each additional  seal is US $50).

    Preparation and filing of the first board  minutes.

    International rush/priority document delivery  (FedEx or DHL).

    All incidental Fax, telephone and clerical  service charges.

SUBSEQUENT ANNUAL REGISTERED AGENT &  OFFICE FEE: US$780
(Covers the  annual government fee of US$300 for all companies with  authorized capital under US$50,000, the provision of  registered office and registered agent, and preparation and  filing of the company's annual return and  license).

PURCHASE OF SHELF COMPANY: US$3,240
(Prices for companies incorporated  in a previous year vary and are available upon application.  For companies incorporated in the current year, includes  government fee of US$300 for companies with authorized capital  under US$50,000, printing of the share certificates and all  corporate documents, minting of the company seal, preparation  and filing of the first board minutes, international delivery  for all corporate documents, as well as all related incidental  telecopier, telephone and clerical service charges. Shelf  company purchase fee does not include the first year's annual  fee of US$120 per quarter, for a maximum of  US$480.)

Bahaman CORPORATE BANK ACCOUNT:  US$300
(If Smith-Smith & Co. provides signatories  to the account, the fee becomes US$500. There are no annual  bank account fees except in situations wherein Smith-Smith  & Co. plays a significant role in operating the account.  Corporate bank accounts in the Bahaman require a minimum  deposit of US$500).

ADMINISTRATIVE OFFICE: US$100-275 per  hour
(Clerical work, including  mail forwarding, invoicing, re-invoicing, secretarial  services, etc. is billed at US$100 per hour. Work undertaken  as director of the company is billed at hourly rates of US$250  - US$275. There is no extra charge for routine communications,  such as occassional mail forwarding, apart from the  reimbursement of the expenses  incurred).

NOTARY OR APOSTILLE: US$100

PROVISION OF ADDITIONAL CORPORATE SEAL: US$50

FILING AMENDMENTS TO MEMORANDUM /  ARTICLES: US$100
(Smith-Smith & Co. charges  additional hourly fees between US$155 and US$275 for special  drafting..

LIQUIDATION: US$750
(Applies to acting as liquidator of a  solvent company, in a voluntary winding up with simple or  nominal assets. Insolvency situations or complex liquidation  plans are subject to a separate  quotation).

POWER OF ATTORNEY: US$150

PROVISION OF CORPORATE DIRECTOR: US$650  per annum
(Subject to approval by Smith-Smith &  Co.. Authorization requires receipt of bank references for all  shareholders of the company, as well as the integrity and  legality of a) the nature of the proposed company's business  and b) its sources of income. A business plan may need to be  supplied by the  applicant).

PROVISION OF NOMINEE SHAREHOLDERS:  US$250
(Smith-Smith & Co. does not charge for the  provision of nominee shareholders if acting as a director for  the company. As with nominee directorship, the provision of  nominee shareholders is subject to approval by Smith-Smith  & Co.).
